Report from the Annual General Meeting in NOTE AB (publ) on 19 April 2023

At NOTE AB (publ)’s Annual General Meeting held on 19 April 2023 (the “AGM”), the following resolutions, among others, were adopted. For more detailed information regarding the resolutions, please refer to the notice to the AGM and the Board of Directors’ complete proposals, which have previously been published and are available on the company’s website, www.note-ems.com.

 

  • To approve the profit and loss account and the balance sheet as of 31 December 2022 for the company and the Group and to grant discharge from liability for the Board members and the Chief Executive Officer for the financial year 2022.

 

  • In accordance with the proposal from the Board of Directors, to distribute no dividend to the shareholders for the financial year 2022.

 

  • That the Board of Directors until further notice shall consist of four (4) ordinary members without deputies and that an auditing firm shall be appointed as auditor in accordance with the proposal from the Nomination Committee.

 

  • That remuneration to the Board of Directors shall be paid in a total of SEK 735,000 (excluding remuneration for committee work), of which SEK 255,000 to the Chairman of the Board of Directors and SEK 160,000 to other Board members and that remuneration to the auditor shall be paid according to current account in accordance with the proposal from the Nomination Committee.

 

  • In accordance with the proposal from the Nomination Committee, to re-elect Anna Belfrage, Johan Hagberg, Bahare Mackinovski and Charlotte Stjerngren as Board members for the period up to the next AGM and to elect Anna Belfrage as Chairman of the Board of Directors.

 

  • In accordance with the proposal from the Nomination Committee, to re-elect the auditing firm Öhrlings PricewaterhouseCoopers AB (PwC) for the period until the next AGM. The auditing firm PwC has informed that Andreas Skogh will be appointed as Auditor in Charge.

 

  • To approve the Board of Directors’ remuneration report.

 

  • In accordance with the proposal from the Board of Directors, to authorise the Board of Directors to decide on the acquisition and sales of treasury shares, on one or more occasions, during the period until the next AGM.

 

  • In accordance with the proposal from the Board of Directors, to authorise the Board of Directors to decide on new issues of shares, on one or more occasions, during the period until the next AGM.
