{"id":15630,"date":"2020-04-09T10:00:00","date_gmt":"2020-04-09T08:00:00","guid":{"rendered":"https:\/\/www.note-ems.com\/press-releases\/arsstamma-2020-atgarder-med-anledning-av-coronaviruset\/"},"modified":"2025-12-02T08:28:15","modified_gmt":"2025-12-02T07:28:15","slug":"annual-general-meeting-2020-measures-in-response-to-the-coronavirus","status":"publish","type":"mfn_news","link":"https:\/\/www.note-ems.com\/en\/pressmeddelande\/arsstamma-2020-atgarder-med-anledning-av-coronaviruset\/","title":{"rendered":"Annual General Meeting 2020 - Measures due to the Coronavirus"},"content":{"rendered":"<p><strong><span><span>NOTE will take certain precautionary measures ahead of the 2020 AGM in light of the Swedish Public Health Agency raising the risk level for the spread of infection in Sweden.<\/span><\/span><\/strong><\/p>\n<p><span><span>The aim is to reduce the risk of contagion by organising a short and efficient AGM with limited interaction, including through the following measures:<\/span><\/span><\/p>\n<ul>\n<li><span><span><span><span><span>The number of officials and staff present at the meeting will be minimised.<\/span><\/span><\/span><\/span><\/span><\/li>\n<li><span><span><span><span><span>No members of the Nomination Committee, members of the Board of Directors, auditors' representatives, officers or employees who have experienced respiratory problems combined with fever during the 14 days preceding the meeting will attend the meeting. Shareholders and proxies are kindly requested to observe the same rule of behaviour. <\/span><\/span><\/span><\/span><\/span><\/li>\n<li><span><span><span><span><span>Light refreshments will be provided.<\/span><\/span><\/span><\/span><\/span><\/li>\n<li><span><span><span><span><span>Planned speeches are kept to a minimum in order to reduce the length of the AGM. \u00a0<\/span><\/span><\/span><\/span><\/span><\/li>\n<li><span><span><span><span><span>The AGM closes immediately after the mandatory agenda items have been dealt with.<\/span><\/span><\/span><\/span><\/span><\/li>\n<li><span><span><span><span><span>Shareholders who do not wish to attend the meeting in person must authorise a proxy to exercise their voting rights. It is suggested that the proxy is issued to the chairman of the meeting or another person whom the shareholder knows will be present at the AGM. If the proxy is issued to the chairman of the meeting, the proxy must be combined with voting instructions so that the chairman of the meeting knows how to vote on the various resolutions.<br \/>\n\tIf the proxy is not combined with voting instructions, the chairman will not be able to represent the shareholder at the meeting. The proxy should also in other cases be combined with voting instructions. Together with the power of attorney, copies of the relevant authorisation documents should also be provided, as specified in the notice of the AGM.<\/span><\/span><\/span><\/span><\/span><br \/>\n\t\u00a0<\/li>\n<\/ul>\n<p><span><span><strong><span><span>Important!<\/span><\/span><\/strong><br \/>\nPlease note that the time for registration will change from 13:15 to 13:45.<\/p>\n<p>Please note that the possibility of allowing a proxy to exercise a shareholder's voting rights at the meeting requires that the shareholder has given notice and is entered in the share register in accordance with what is stated in the notice of the Annual General Meeting. It is therefore not sufficient to simply send in a proxy form.
