Notice to attend the Annual General Meeting of NOTE AB

The Board of Directors of NOTE AB (publ) hereby invites the shareholders of the company to the Annual General Meeting on Tuesday 27 April 2004 at 6 p.m. at the premises of Roslagens Sparbank, Danskes Gränd 2, Norrtälje.

In addition to the usual business of the Annual General Meeting, as set out in the attached notice, the following proposals will be considered at the meeting.

- The Board of Directors proposes no dividend for the financial year 2003.

- Shareholder representatives propose the re-election of all Board members: Sten Dybeck, Börje Andersson, Thord Johansson, Katarina Mellström, Ulf Mikaelsson, Erik Stenfors and Lennart Svensson.

- The Board of Directors proposes that the General Meeting resolves to set up a Nomination Committee.

- The Board of Directors proposes that the General Meeting authorise the Board to issue new shares on one or more occasions. The Board of Directors shall be able to decide on a new share issue with deviation from the shareholders' preferential rights. The Board of Directors shall also be able to decide on a new issue with a provision that the shares shall be subscribed for with a right of set-off or with a provision for payment in kind.
The total amount by which the share capital may be increased pursuant to this authorisation may not, however, exceed SEK 1,500,000 (which corresponds to 3,000,000 shares after the split).
The reason why it should be possible to deviate from the preferential rights is that the company should be able to carry out acquisitions and directed issues on the capital market with the aim of raising capital for the company and/or spreading ownership.
