The Nomination Committee's proposals for NOTE's Annual General Meeting 2023

The Nomination Committee of NOTE AB (publ), corporate identity number 556408-8770, (”The company”), has consisted of Johan Hagberg (own holding), Egil Dahl (Vevlen Gård), Fredrik Hagberg, (own holding and Myggenäs Gård) and Per Olof Andersson (own holding and Claes Mellgren's holding). The Chairman of the Nomination Committee has been Per Olof Andersson. The Nomination Committee of the Company presents the following proposal for resolution at the Annual General Meeting on 19 April 2023.

Item 2 - Charlotte Stjerngren is proposed as Chairman of the meeting.

Item 10 - The Board of Directors is proposed to consist of four (4) ordinary members without deputies until further notice. It is proposed that an auditing firm be appointed as auditor.

Item 11 - Board fees and remuneration for committee work is proposed as follows (2022 fees in brackets)

In accordance with the Audit Committee's recommendation, it is proposed that auditors' fees be paid on a current account basis.

Item 12 a) - The following Board members are proposed for re-election: Anna Belfrage, Johan Hagberg, Bahare Mackinovski and Charlotte Stjerngren. Claes Mellgren has declined re-election. Anna Belfrage is proposed as Chairman of the Board.

Item 12 b) - As previously communicated in the notice to the Annual General Meeting, it is proposed that the auditing firm Öhrlings PricewaterhouseCoopers AB (PwC) be re-elected, in accordance with the Audit Committee's recommendation, for the period until the end of the next Annual General Meeting. PwC has announced that if PwC is re-elected, Andreas Skogh will be elected as auditor in charge.
